Terms of Service

The short, readable version of how we work together. Last updated 27 July 2026.

1. Who these terms cover

These terms apply to your use of this website and, together with a written quote or proposal, to services provided by kotrix.IT (sole trader, ABN pending), Sydney, Australia. A signed or accepted quote forms the service agreement; if a quote and these terms conflict, the quote wins.

2. Quotes and payment

  • Quotes are fixed-price and valid for 30 days unless stated otherwise.
  • Projects: 50% deposit to commence, 50% on delivery — larger projects split into agreed milestones.
  • Monthly plans bill in advance; Managed IT is month-to-month with 30 days' notice.
  • Prices are ex-GST unless marked otherwise; invoices show GST-inclusive totals.
  • Invoices are payable within 7 days unless otherwise agreed.

3. Scope and changes

The quote defines the scope. Work outside it is quoted separately before it starts — we don't bill surprise hours. Each project milestone includes up to two rounds of revisions; further rounds are quoted as additional work.

4. Your responsibilities

  • Provide timely feedback, content and access needed for the work.
  • Ensure content you supply doesn't infringe anyone's rights.
  • Keep your own credentials secure once handed over.

5. Ownership

On full payment, you own the deliverables — code, designs, content and accounts created for you. We may use generic, non-confidential techniques and libraries across projects, and we may show the work in our portfolio unless you ask us not to.

6. Warranties and liability

We fix defects in our work reported within 30 days of delivery at no charge. Australian Consumer Law guarantees apply and nothing here excludes them. Beyond those guarantees, our total liability for any claim is capped at the fees you paid for the relevant service, and we're not liable for indirect losses (lost profits, data loss caused by third-party services, business interruption).

7. Third-party services

Solutions often rely on third-party platforms (hosting, email, SaaS, payment providers). Their availability, pricing and terms are theirs, not ours — we'll recommend and configure them carefully, but we can't warrant services we don't control.

8. Confidentiality

Anything non-public we learn about your business stays confidential, indefinitely. We're happy to sign your NDA. Data recovery work is additionally covered by the confidentiality terms on the service page.

9. Ending an engagement

Either side can end a project engagement in writing. You pay for work completed to that date; we hand over everything you've paid for, in usable form. Monthly plans end with 30 days' notice.

10. Governing law

These terms are governed by the laws of New South Wales, Australia.
